CONFIDENTIALITY AND NON-CIRCUMVENTION AGREEMENT
BETWEEN Smart Business Broker AND *(INTERESTED PARTY)
Whereas confidential information is proposed to be exchanged between Smart Business
Broker or Smart Business Broker's respective business brokers, as well as
yourself/yourselves, in connection with the possible disposal or acquisition of any
business(es) through Smart Business Broker, including but not limited to transaction Listing ID SBB2024.
We/I hereby agree and undertake as follows:
This agreement outlines the confidentiality and non-circumvention obligations between the parties
involved in the disposal or acquisition of business assets through Smart Business Broker. The parties
agree to obtain independent legal advice and treat all confidential information as totally
confidential. They will not disclose any confidential information except to authorized individuals,
such as accountants, banks, or legal advisors. The parties acknowledge Smart Business Broker as the
introducing agent and will conduct all communications and meetings through Smart Business Broker.
The parties also agree to not engage with any person or business disclosed to them by Smart
Business Broker other than through Smart Business Broker. They will be personally and jointly and
severally liable for any commission payable to Smart Business Broker as a result of the introduction
of a business, assets, or any person by Smart Business Broker.
The parties also agree to indemnify the other party to the transaction and/or Smart Business Broker
for any losses, claims, and damages resulting from a breach of their confidentiality and other
undertakings in this agreement. The parties also agree to comply with all privacy, data privacy laws,
and electronic transactions legislation applicable in New Zealand or Australia.
The obligations surrounding confidentiality and non-circumvention will survive the expiry or
termination of the agreement for five years from the date of termination.
